What defines a Shareholder?
When a person invests in your company (with money), they purchase a degree of beneficial ownership (a share) of the company. A person may become a minority or majority shareholder in your company depending on their financial investment and the value of shares they hold.
Does a Shareholders Agreement protect against disputes?
When a group of people hold a vested interest in a company, there is no doubt disputes may arise. A Shareholders Agreement will clearly show the company's default position in times where all involved may not see eye to eye.
How much protection does an agreement offer shareholders?
A trusted board of directors usually runs a company; however, shareholders can insist on these largely unrestricted powers being regulated (and kept in-check) to the extent prescribed in the Shareholders Agreement.
Both minority and majority shareholders will have conditions in place to protect their financial and legal interest in the company.
